MoneyMax Financial Services Ltd. said on Sep, 08 2026 that it intends to undertake a bonus issue of up to 318.48 million new ordinary shares, issuing one bonus share for every three existing shares held by investors on a record date to be set later. Fractional entitlements will be disregarded.

The proposal could expand the company’s issued share capital from 955.43 million to as many as 1.27 billion shares, with the new shares allotted fully paid at no consideration and ranking pari passu with existing stock, except for dividends or other entitlements declared before their issue.

The bonus shares will be issued under the general mandate approved at the company’s Apr, 28 2026 annual general meeting, which authorises up to 468.75 million new shares on a pro-rata basis. No shares have yet been issued under that mandate, leaving sufficient headroom for the planned allotment.

Listing and quotation of the bonus shares on the Singapore Exchange’s Mainboard remain subject to approval from the Singapore Exchange Securities Trading Ltd. MoneyMax said the theoretical ex-bonus price, calculated at about S$0.5507 based on the lowest daily weighted average price of S$0.7343 in the month before the announcement, exceeds the S$0.50 minimum required under SGX rules.

Management stated that the bonus issue aims to reflect the group’s growth, reward shareholders and improve trading liquidity. The board added that no directors or substantial shareholders have interests in the proposal other than through their existing stakes.

The company urged investors to exercise caution when trading its shares as the bonus issue is contingent on regulatory clearance.
