Bosideng Issues 0.22 Million New Shares on Option Exercises; Repurchases 29 Million Shares for HK$115.46 Million in September

Hong Kong-listed Bosideng International Holdings Limited released its Monthly Return for Equity Issuer for the period ended 30 September 2026, detailing marginal equity issuance, continued share buybacks and a stable public float position.

Authorised and Issued Share Capital • Authorised capital remained unchanged at 20.00 billion ordinary shares with a par value of USD 0.00001 each, equivalent to USD 0.20 million. • Issued share capital (excluding treasury shares) increased by 0.22 million shares to 11.73 billion, a 0.002 % month-on-month rise, after option exercises. The company reported no treasury shares on hand.

Share Option Activity • Exercise of 220,000 options from the 2017 Share Option Scheme at an exercise price of HK$3.24 per share generated proceeds of HK$0.71 million. • Total outstanding options across the 2017 and 2024 schemes stood at 243.20 million, broken down as follows: – 2017 Scheme: 174.83 million options outstanding (15.48 million at HK$1.07; 159.35 million at HK$3.24). – 2024 Scheme: 68.37 million options at HK$3.65. • Of these, 10.69 million options are already vested, while 232.51 million are scheduled to vest between 2026 and 2029.

Share Repurchases Pending Cancellation • Seven on-market repurchase transactions during the month totalled 29.00 million shares at prices ranging from HK$3.97 to HK$4.04. • The weighted-average repurchase price was approximately HK$3.98, implying a total consideration of about HK$115.46 million. • As at 30 September 2026 these repurchased shares were “for cancellation but not yet cancelled,” therefore they have not affected the period-end issued share figure.

Public Float Compliance • Bosideng confirmed compliance with the Main Board’s minimum public float threshold of 25 % as at 30 September 2026.

Overall Impact The month’s activities resulted in a net increase of 0.22 million issued shares, modest relative to the 11.73 billion shares outstanding. Meanwhile, sizeable repurchases awaiting cancellation signal ongoing capital management efforts, subject to completion of the cancellation process.
